Commercial license agreement

NON-EXCLUSIVE COMMERCIAL LICENSE AGREEMENT

Order YB-XXXXXX | Effective date: purchase date

Instrumental: "Beat name", produced by YAGUAR.

Licensor: YAGUAR beats ("Producer").

Licensee: Your legal name, professionally known as your artist name ("Licensee").

1. Grant of license

Producer grants Licensee a non-exclusive, worldwide, perpetual license to use the Instrumental to create one new musical work by adding original lyrics, vocals or other elements (the "New Song"), and to exploit the New Song commercially under the terms below.

2. Permitted uses

Licensee may, without limits on quantity: distribute and sell the New Song in physical and digital formats; stream it on any audio or video platform; produce and publish music videos; perform it live in paid and non-profit events; broadcast it on radio and television; and monetize it on YouTube and social platforms.

3. Credit

Licensee shall credit the Producer as "Prod. by YAGUAR" in the title or description of the New Song wherever credits are displayed.

4. Ownership and publishing

Producer remains the sole owner of the copyright in the Instrumental. Licensee owns the lyrics and vocal performance. The composition of the New Song is shared: Producer is credited as co-writer and retains 50% of the writer's share and 50% of the publisher's share. Each party may register its own share with its performing rights organization.

5. Restrictions

Licensee may not: resell, lease, sublicense or give away the Instrumental on its own; use it in another beat, sample pack or library; claim authorship of the Instrumental; or register the Instrumental or the New Song in any content identification system (such as YouTube Content ID), because the Instrumental is licensed on a non-exclusive basis.

6. Future exclusive sale

Producer may continue to license the Instrumental to others and may sell its exclusive rights in the future. In that case this license remains fully valid under the same terms.

7. Delivery

The Instrumental is delivered as an untagged WAV file and, when available, as track stems, through a private download page.

8. Warranty

Producer warrants that the Instrumental is an original work and that Producer has the right to grant this license. The Instrumental is provided as is; Producer is not liable for the content Licensee adds to it.

9. Licensor identity

YAGUAR beats is the trade name under which the Licensor operates. The Licensor's registered legal details are kept on file and will be provided upon written request to hi@yaguarbeats.com whenever they are required, such as for registration with a performing rights organization, a distributor or a court.

10. Governing law

This agreement is governed by the laws of the Republic of Chile. It is accepted electronically by the Licensee at the moment of purchase and does not require a handwritten signature.
